Zalchos Terms of Service

Please read these terms carefully before using the Zalchos platform. By using our service, you agree to be bound by these terms.

Introduction

Zalchos Inc. (“Zalchos”, “we”, “us”, “our”) operates a technology marketplace platform that connects customers with independently operated, licensed liquor retailers (“Vendors”) and authorized delivery personnel (“Drivers”) in Canada.

Zalchos is a technology intermediary only. We do not sell, own, warehouse, or distribute alcohol. All alcohol sales are made directly by licensed Vendors who are solely responsible for those transactions under applicable provincial liquor legislation, including the Alberta Gaming, Liquor and Cannabis Act (AGLC) where applicable.

By accessing or using the Zalchos platform, you agree to be bound by these Terms of Service.

Marketplace Model

Zalchos does not sell or own alcohol inventory. Zalchos is a technology marketplace that facilitates connections between customers, licensed liquor retailers, and authorized delivery personnel.

All alcohol products listed on the Zalchos platform are sold exclusively by licensed Vendors. Each Vendor independently sets their own product listings, pricing, and inventory. Vendors are solely responsible for the accuracy of their listings and the fulfilment of orders placed through the platform.

Zalchos provides technology infrastructure including order management, payment processing facilitation, delivery coordination, and compliance tooling. Zalchos collects a service fee for providing these technology services.

The sale of alcohol is a transaction between the customer and the licensed Vendor. Zalchos is not a party to that sale and assumes no liability for the products sold by Vendors.

Eligibility

You must be of legal drinking age in your province or territory to place orders on the Zalchos platform. In Alberta, the legal drinking age is 18 years. In most other provinces and territories, the legal drinking age is 19 years.

You must provide accurate account information when registering, including your name, date of birth, and delivery address.

By placing an order, you confirm that you are of legal drinking age and that the order is for personal use in compliance with applicable laws.

Orders and Payments

Orders are placed through the Zalchos platform and transmitted to the applicable licensed Vendor for fulfilment. The Vendor accepts or declines the order at their sole discretion.

Payments are processed securely through Stripe marketplace payments. The alcohol sale revenue is remitted to the licensed Vendor. Zalchos collects a separate technology service fee for facilitating the order, payment processing, and delivery coordination.

Prices displayed on the platform are set by the Vendor and may vary. Zalchos does not set or control product pricing.

Refunds and order disputes are subject to the Vendor’s fulfilment policies and applicable consumer protection laws. Zalchos may assist in facilitating dispute resolution but is not responsible for Vendor fulfilment decisions.

Delivery Requirements

Customers must be present at the delivery address and must present a valid government-issued photo identification confirming legal drinking age at the time of delivery.

Drivers are required to refuse delivery if:

  • Valid government-issued photo ID is not presented
  • The recipient appears visibly intoxicated
  • The recipient is under the legal drinking age
  • The delivery address is unattended — alcohol cannot be left unattended
  • Delivery conditions are unsafe or the recipient cannot be verified

Refused deliveries may result in a restocking fee charged by the Vendor. Zalchos is not responsible for refused deliveries resulting from the customer’s failure to comply with these requirements.

Vendor Responsibilities

Vendors on the Zalchos marketplace are independent licensed liquor retailers. Each Vendor is solely responsible for:

  • Holding and maintaining a valid liquor retail licence issued by the applicable provincial authority (e.g., AGLC in Alberta)
  • Complying with all applicable provincial and federal laws governing the sale, packaging, and distribution of alcohol
  • Setting accurate product listings, pricing, and inventory on the platform
  • Preparing and packaging orders in compliance with applicable regulations
  • Ensuring orders are ready for pickup within the agreed preparation time
  • Maintaining accurate transaction records for regulatory audit purposes
  • Verifying that orders are not fulfilled to individuals under the legal drinking age
  • Complying with all conditions attached to their liquor licence

Zalchos reserves the right to suspend or permanently remove Vendors that violate applicable liquor regulations, breach their licence conditions, or fail to comply with Zalchos platform policies.

Vendors are not employees, agents, or partners of Zalchos. Vendors operate as independent businesses and are solely responsible for their regulatory compliance.

Driver Responsibilities

Delivery personnel (“Drivers”) on the Zalchos platform are independent contractors authorized to perform last-mile delivery of alcohol orders prepared and packaged by licensed Vendors.

Drivers are required to:

  • Verify government-issued photo ID confirming legal drinking age before completing any alcohol delivery
  • Refuse delivery to anyone who cannot provide valid identification
  • Refuse delivery to anyone who appears visibly intoxicated
  • Never leave alcohol unattended at a delivery address
  • Complete mandatory responsible alcohol service training before making deliveries
  • Comply with all provincial regulations governing alcohol delivery

Drivers are not employees of Zalchos and operate as independent contractors. Drivers are responsible for their own compliance with applicable laws and regulations.

Limitation of Liability

Zalchos provides the platform on an “as-is” and “as-available” basis. Zalchos makes no warranties regarding the availability, accuracy, or reliability of the platform.

Zalchos is not responsible for the quality, safety, legality, or accuracy of products sold by Vendors. All product-related claims must be directed to the applicable Vendor.

To the maximum extent permitted by applicable law, Zalchos’s total liability to any user shall not exceed the total service fees paid by that user in the three (3) months preceding the claim. Zalchos is not liable for indirect, incidental, special, or consequential damages.

Account Suspension

Zalchos may suspend or permanently terminate accounts that violate these Terms of Service, applicable laws, or platform policies. This includes but is not limited to: providing false information, attempting to circumvent age verification, fraudulent activity, or regulatory violations.

Vendors may be suspended or removed for licence violations, regulatory non-compliance, repeated order fulfilment failures, or breach of the Vendor Agreement.

Governing Law

These Terms of Service are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Alberta.

Where Zalchos operates in other provinces, applicable provincial liquor legislation and regulations of those provinces also apply.
